What you need to know before registering a business in Malaysia

The ability to appoint a nominee director from among local citizens is one of the most important features. At the same time, the activities of the director can be exclusively formal – the founders will lead the entire business themselves. In addition to this feature, there are following nuances in the registration procedure:

  • founders can be any persons, regardless of resident status;
  • information about the company members is available upon special request and after payment of the state fee;
  • every firm must have a secretary. The person must be appointed to the position within 1 month from the date of registration. Moreover, the secretary must have an appropriate license or be a member of a secretarial institution;
  • the minimum amount of the authorized capital is 500 thous. Ringgits (about 100 thous. Euros);
  • information about the beneficiaries is stored in a special register;
  • no need to open a temporary bank account.

The name of the organization can be in English, Latin, or Malaysian. As in most other legal orders, there is a requirement for the uniqueness of the name in Malaysia – it must not be a plagiarism of already registered marks. It is worth remembering that, in addition to the main name, the details must also include the abbreviation of the organizational and legal form – Sdn Bhd.

Specifics of taxation in Malaysia

The following taxes apply to businesses in the country:

  • corporate tax. Base rate is 24%;
  • VAT is 10% for goods and 6% for services;
  • mandatory contributions are 13.78% from the employer;
  • no taxes on dividends;
  • the minimum wage in Malaysia is 1,200 Ringgits in 2021.

It must be noted that the company is subject to VAT only if its profit exceeds 500 thous. Ringgits. Otherwise, the taxpayer is not required to pay VAT.
